Spout.dev Terms of Use

Spout.dev is an open source project provided by Function Desk LLC ("we", "us", or "our"), a limited liability company based in Florida. Spout.dev is distributed as a downloadable directory containing software written in multiple programming languages and prompt templates. This project is made available under the Apache License 2.0. These Terms of Use ("Terms") govern your use of Spout.dev, including any associated documentation and community resources.

1. Acceptance of Terms

By downloading or using Spout Workspace, you agree to these Terms. If you do not agree to these Terms, do not use or download Spout.dev.

2. License

Spout is provided under the Apache License 2.0 (published 2025). This license governs your rights to use, modify, and distribute the Software. Please review the license for the full terms under which the Software is provided.

3. Description and Use of the Software

A. Project Description

Spout is a downloadable collection of code and prompt templates designed to facilitate integrations with multiple Large Language Model (LLM) providers. The Software is offered "as-is" without any warranty.

B. Access

No user registration or account creation is required to download or use the Software. However, participation in our online Discord community is voluntary and subject to separate community guidelines.

C. Third-Party API Integration

Spout.dev enables you to integrate with various third-party LLM APIs. You are solely responsible for obtaining and managing your own API keys and for complying with the terms and conditions of those third-party providers.

4. User Responsibilities and Conduct

  • Lawful Use:
    • Use Spout.dev only for lawful purposes
    • Comply with all applicable laws and regulations
  • Discord Community:
    • Abide by community rules and guidelines
    • Misconduct may result in removal from the community
  • API Keys and Third-Party Services:
    • Manage your own API keys responsibly
    • Accept responsibility for third-party service issues

B. Third-Party Services

FUNCTION DESK LLC DISCLAIMS ANY WARRANTIES OR REPRESENTATIONS REGARDING THE PERFORMANCE, AVAILABILITY, OR RELIABILITY OF THIRD-PARTY LLM APIs OR SERVICES. USE OF SUCH SERVICES IS AT YOUR OWN RISK.

C. Limitation of Liability

IN NO EVENT SHALL FUNCTION DESK LLC BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, SPOUT.DEV OR ANY THIRD-PARTY SERVICES.

7. Modifications to These Terms

Function Desk LLC reserves the right to modify or update these Terms at any time without prior notice. Your continued use of Spout.dev following any changes constitutes your acceptance of the revised Terms.

8. Indemnification

You agree to indemnify, defend, and hold harmless Function Desk LLC, its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses arising from:

  • Your use of Spout.dev
  • Violation of these Terms
  • Infringement of any intellectual property rights

9. Governing Law and Jurisdiction

  • These Terms shall be governed by Florida law
  • Legal proceedings shall be brought exclusively in Florida courts
  • Conflict of law provisions shall not apply
